ARTICLE I – NAME
The name of the club is Mission Bay Women’s Golf Club.
ARTICLE II – OBJECTIVES
Sec. 1 To promote the interests of golf among the women of the San Diego area.
Sec. 2 To establish and maintain handicaps for all members.
Sec. 3 To hold weekly sweeps and special tournaments throughout the year.
Sec. 4 To cooperate and comply with the rules and regulations of the US Golf Association.
Sec. 5 To promote and hold such social and recreational activities as the general membership may desire.
ARTICLE III – MEMBERSHIP AND ELIGIBILITY
Sec. 1 Any woman at least eighteen (18) years of age is eligible for membership, subject to the discretion of the Board of Directors.
Sec. 2 All applicants for membership agree to abide by and support the By-Laws and general regulations of the club and to observe course etiquette.
Sec. 3 Paid members in good standing with an established handicap (20 games) are eligible to participate in the club championship. Members with a temporary handicap (5 games) are eligible for all other tournaments.
Sec. 4 A regular member who will not be playing regularly may join as a social member and play in the scrambles and attend luncheons. She will receive the Que Pasa newsletter.
Sec. 5 Club dues shall be $65 per year, subject to change, due and payable July 1. A member joining during the last 3 months (April, May, June) will pay $20. Social Members will pay $25. Social members joining the last 3 months will pay $10.
Sec. 6 Dues are payable in advance for the fiscal year July 1 to June 30. Members shall have 30 days from the due date to pay dues before being considered in arrears and dropped from the membership list. Members may be reinstated by payment of dues.
ARTICLE IV – NOMINATION AND ELECTION OF OFFICERS
Sec. 1 The election of officers shall take place by ballot the first Wednesday in June. Those elected shall assume their duties at the Installation Meeting in June.
Sec. 2 A nominating committee will consist of five (5) members, chaired by the Vice President. She will select four (4) assistants. They shall recruit new officers and then post the slate of candidates in May, at least 30 days before the election.
On the Ballot there will be spaces for any member to write in her choice for other than the nominees. Members will cast their votes on the ballot, which are not to be signed. Members may deposit Ballots in the Ballot box at the course or mail in their Ballot by downloading the ballot, filling it out, placing the ballot in a sealed, signed envelope and mailing to the Vice President before the first Wednesday in June.
If accepting the entire slate, members may vote online and send back to the Vice President. The President and the nominating chair will count the ballots. The majority carries. The winning nominees will be posted and then installed at the Installation Luncheon in June.
Sec. 3 Before a member can be nominated for office, she must have given her consent to the nomination.
Sec. 4 In the event of a tie, a special election will be held the following week.
ARTICLE V – OFFICERS AND BOARD OF DIRECTORS
Sec. 1 The elective officers of the club will consist of a President, Vice President, Secretary, Treasurer/Hole in One, and Chair of the following offices: Membership, Sweeps, Tournament, Rules, Handicap, and Ringer.
Sec. 2 The Board of Directors will consist of the elected officers of the club and a Parliamentarian, Sunshine Lady, and Editor of Que Pasa, appointed by the President.
Sec. 3 Terms of officers shall be one year. No member may hold any office for more than two consecutive years. If the nominating committee cannot fill an office on the board, a member who has served two years in that position may serve another year or two.
Sec. 4 In the event a board member shall be unable to fulfill her duties or should fail to be present at three consecutive board meetings without an acceptable excuse, the members of the board may appoint a replacement.
Sec. 5 All vacancies in office, except that of the President, will be filled by a vote of the Board of Directors. The office of President will be filled by election of the general membership.
Sec. 6 Duties and responsibilities of officers and board members:
The President: Presides over all meetings. If a meeting needs to be cancelled, she does so and may call special meetings as necessary. She is an ex-officio member of all committees. She appoints the Parliamentarian and Sunshine Lady. She supervises the affairs of the club.
The Vice President: In the absence or inability of the President, will perform the powers and duties of the President. She creates and promotes special activities, other than tournaments. She is the chair of the Nominating Committee (see Article IV, Section 2).
The Secretary: Attends and keeps minutes of the general and board meetings and records attendance. She notifies members ahead of time of the time and place of any special meetings. She is in charge of all correspondence. She keeps the minutes and by-laws current.
The Treasurer: Is in charge of all monies including HOLE-IN-ONE fees, depositing receipts, writing checks, reconciling bank account, maintaining petty cash, and preparing and reporting results at board meetings. She verifies Sweeps calculations and distributes winnings. She develops the year’s spending plan with the President and the board.
The Membership Chair: Collects dues and collects current contact information for the membership. She keeps an up-to-date roster and informs the board and starter of new members.
The Sweeps Chair: Takes charge of all weekly games, selecting an assistant if necessary. She prepares a yearly calendar of events and games.
The Tournament Chair: Conducts all tournaments, determines winners, and distributes winnings.
The Rules Chair: Advises the membership on the USGA rules of golf. She is responsible for recording names of winners on perpetual trophies.
The Handicap Chair: Keeps on file an accurate record of members’ golf scores, and adjusts and determines golf handicaps monthly. She keeps a record of tournament eligibility. Records are retained for a period of two years.
The Ringer Chair: Is in charge of ringer contests. She collects the ringer fee from members once a year, keeps accurate records of scores, and pays out every three months, alternating between low gross and low net. Scores are recorded after each play day and adjusted as scores improve. Players are divided into three groups (flights) according to their handicap.
The Parliamentarian: Gives necessary advice in parliamentary procedure at general and board meetings in accordance with Robert’s Rules of Order. She keeps the By-Laws current and sits as chair of the By-Laws committee.
The Sunshine Lady: Sends cards to or telephones members when advised of illness or bereavement.
Editor of Que Pasa: Publishes a monthly newsletter of club activities and photos, perhaps including birthdays. The newsletter is emailed to members and some hard copies are brought to the Wednesday golf events.
Sec. 7 The Board of Directors transacts all the business of the club and reports same to members. They perform any executive duties assigned by the club. The Board is further empowered to meet all necessary expenses from the funds of the club treasury in performance of its duties.
ARTICLE VI – MEETINGS
Sec. 1 Monthly board meetings shall be held for the transaction of business. General meetings shall be held semi-annually at the Holiday and Installation Luncheons.
Sec. 2 The Secretary shall notify all members of the club in advance of a special general meeting. One-third of the membership in attendance at the board or general meeting shall constitute a quorum.
ARTICLE VII – AMENDMENTS
The Bylaws may be amended by a two-thirds majority vote of the members present at any regular or special meeting, provided the amendment was signed by at least five members and posted at least thirty days prior to the next general meeting. If adopted, the amendment shall become a part of the By-Laws upon approval of the Board of Directors.
ARTICLE VIII – RULES OF PROCEDURE
Any procedures not provided for in these articles shall be decided by provision of Robert’s Rules of Order (Revised) and the United States Golf Association Rule Book.
